Am I required to file a W2 for Tax return if it was 100% Tax Exempt?

I have two w2 forms and when I include the one for which I was tax exempt, the income from that tax exempt w2 is added as taxable and there is a huge "penalty" involved. I am uming that tax exempt means just that so but I wasn't sure what action to take during the filing.
